Terms of Service

These terms apply to all users of Culturafy, including consumers who search and browse, subscribers who list their businesses, and affiliates who participate in the Culturafy Affiliate Program.

1. Acceptance of Terms

By accessing or using Culturafy, whether as a consumer searching for businesses or as a subscriber listing a business, you agree to be bound by these Terms of Service. If you do not agree, please do not use our platform.

2. Consumer Use

Consumers may search, browse, favorite, and review businesses on Culturafy free of charge. You agree to use the platform for lawful purposes only, not to misuse or disrupt the service, and not to scrape, copy, or redistribute business data without permission.

3. Subscriber Listings & Subscriptions

Subscribers who list a business are responsible for the accuracy, completeness, and legality of all listing content, including business details, contact information, and demographic designations. Subscription plans are billed through Base44 Payments on a recurring basis until cancelled. Subscribers may cancel at any time; cancellations take effect at the end of the current billing cycle. Culturafy reserves the right to verify, moderate, or remove listings that violate our guidelines or contain inaccurate information.

4. Reviews & Community Conduct

Reviews must be honest, relevant, and based on genuine experiences. We reserve the right to moderate and remove reviews that violate our community guidelines. Subscribers may respond to reviews of their business but may not offer incentives in exchange for reviews or attempt to manipulate ratings.

5. Privacy & Data

Our collection and use of personal information is described in our Privacy Policy. Subscribers may request deletion of their business and demographic data at any time through their Dashboard.

6. Business Verification & Accuracy Disclaimer

While we make every reasonable effort to verify the accuracy and legitimacy of businesses listed in our directory, including ownership, licensing, certifications, and operating status at the time of verification, we cannot guarantee that such information will remain accurate, current, or complete after a business has been listed or verified. Business ownership, management, licensing, certifications, operating status, and other listing information may change over time without notice to Culturafy.

Users are strongly encouraged to independently verify any business information that is important to their purchasing, hiring, or other decisions, including but not limited to current ownership, license status, insurance coverage, certifications, and business operations. Culturafy does not warrant or guarantee the accuracy, reliability, completeness, or timeliness of any listing information, and any reliance on such information is strictly at your own risk.

To the fullest extent permitted by applicable law, Culturafy, its operators, affiliates, officers, employees, and agents disclaim all responsibility and liability for any inaccuracies, misrepresentations, errors, omissions, or changes in business information that occur after a business has been listed or verified. Under no circumstances shall Culturafy be held liable for any losses, damages, claims, or harms arising from or in connection with inaccurate, outdated, or misleading business information, including but not limited to direct, indirect, incidental, consequential, special, or punitive damages, loss of profits, loss of business, reputational harm, or any other injury resulting from reliance on listing content. This disclaimer applies even if Culturafy has been advised of the possibility of such damages.

Businesses listed on Culturafy are independent entities. Culturafy is not a party to any transaction, agreement, or relationship between users and listed businesses, and does not endorse, sponsor, or guarantee the products, services, quality, safety, or legality of any listed business. The inclusion of a business in our directory does not constitute an endorsement or certification of that business.

7. Limitation of Liability

Culturafy is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We are not liable for any damages arising from your use of our platform, reliance on business information listed by subscribers, or interactions between consumers and listed businesses. The limitations and disclaimers set forth in Section 6 above are incorporated herein by reference.

8. Refund Policy

Non-Refundable Fees. Subscription fees are eligible for a refund only if requested within 7 calendar days of the initial payment or renewal date. After this 7-day period, all subscription fees are non-refundable.

Refunds will not be issued for reasons including, but not limited to:

  • Incorrect listing category selections (e.g., submitting a service or brick-and-mortar business under a product-based listing)
  • Duplicate submissions made by the applicant
  • Failure to follow application instructions, eligibility requirements, or submission guidelines
  • Platform usage, account activity, or submission status after the 7-day refund period has expired

Subscription Charges. This refund policy applies to both monthly and annual subscription plans. Refund requests submitted more than 7 calendar days after the initial charge or any renewal charge will not be considered under any circumstances.

9. Affiliate Program

This Section 9 applies to any user who applies to, is approved for, or participates in the Culturafy Affiliate Program ("Affiliate"). By applying to the program or using an affiliate referral link or code, you agree to the terms in this Section 9 in addition to all other provisions of these Terms.

9.1 Enrollment & Approval. Participation in the Affiliate Program is subject to application and approval by Culturafy in its sole discretion. Culturafy may reject, suspend, or terminate any affiliate account at any time for any reason, including suspected fraud, violation of these Terms, or conduct that could harm the reputation of Culturafy. Each affiliate must be at least 18 years of age and legally able to enter into a binding agreement. Affiliates are independent contractors, not employees, agents, or legal representatives of Culturafy, and have no authority to bind Culturafy to any obligation.

9.2 Commission Structure. Affiliates earn a commission equal to 25% of the subscription amount paid by a referred business that purchases a paid Culturafy subscription plan. No commission is paid on free subscriptions. The applicable commission rate, any bonus rates, and payout thresholds are published on the Affiliate Program page and may be changed by Culturafy at any time; changes to the commission rate apply prospectively to referrals that have not yet qualified as of the effective date of the change. Commissions are earned only on actually collected and non-refunded subscription payments.

9.3 Referral Qualification. A referral is credited to an affiliate only when: (a) the referred business clicks the affiliate's referral link or uses the affiliate's referral code to reach the Culturafy listing page, (b) the business completes a paid subscription purchase, and (c) the subscription payment remains active and non-refunded for a qualification period of thirty (30) calendar days from the date of the initial successful payment. Referrals that are cancelled, refunded, charged-backed, or associated with a suspended business within the qualification period do not qualify for commission and will be cancelled. Commissions on qualifying referrals are approved after the qualification period and are payable according to the payout schedule described on the Affiliate Program page.

9.4 Cookie & Attribution Tracking. Referrals are tracked using a cookie set in the referred user's browser at the time they click an affiliate referral link. The attribution window is ninety (90) calendar days from the most recent click of that affiliate's link. If a referred user clears their cookies, uses a different device or browser, or clicks another affiliate's referral link before purchasing, the referral may not be attributed to you. Culturafy uses reasonable efforts to track referrals accurately but does not guarantee attribution in all circumstances and is not liable for lost or untracked referrals due to technical limitations, browser settings, ad blockers, or user behavior. The last affiliate referral link clicked prior to a completed purchase receives credit.

9.5 Self-Referrals & Fraud. Affiliates may not earn commissions on their own subscription purchases, on purchases by businesses they own or control, or on purchases made by immediate family members or household members ("self-referrals"). Self-referrals are automatically detected and cancelled. Affiliates must not engage in any fraudulent, deceptive, or manipulative practices, including but not limited to creating fake accounts, using stolen payment methods, submitting false information, or colluding with others to generate artificial referrals. Culturafy reserves the right to void any commissions and permanently ban any affiliate found to have engaged in fraud or abuse.

9.6 Prohibited Marketing Methods. Affiliates must promote Culturafy ethically and lawfully. The following are strictly prohibited and may result in immediate suspension, forfeiture of commissions, and termination from the program: (a) sending unsolicited commercial email (spam) or posting to newsgroups, forums, or message boards where such posting is not permitted; (b) "cookie stuffing," forced clicks, pop-unders, or any technique that sets a tracking cookie without a genuine user click; (c) bidding on the Culturafy name, misspellings, or related trademarked terms in pay-per-click search engines, or using such terms in domain names, subdomains, or social media handles; (d) misrepresenting the Affiliate Program, commission rates, or the nature of Culturafy's services; (e) creating websites or social media profiles that impersonate Culturafy or appear to be an official Culturafy property; (f) promoting Culturafy on websites containing illegal, defamatory, discriminatory, harassing, or adult content; and (g) any advertising or marketing that violates applicable laws or third-party rights.

9.7 FTC Disclosure Requirement. Affiliates must comply with all applicable advertising and consumer-protection laws, including the disclosure requirements of the U.S. Federal Trade Commission. Any promotional content that contains an affiliate referral link must include a clear and conspicuous disclosure that the affiliate may earn a commission, placed in close proximity to the referral link and in a manner that is easily noticed by the audience. Affiliates are solely responsible for their own compliance with disclosure laws.

9.8 Payouts. Approved commissions are paid out according to the schedule and minimum payout threshold published on the Affiliate Program page, using the payout method designated by the affiliate in their affiliate dashboard. Affiliates are responsible for keeping their payout information accurate and current; Culturafy is not liable for payments sent to outdated or incorrect payout details. Culturafy may delay, adjust, or reverse commissions that are later refunded, charged back, or determined to have been fraudulently generated. If an affiliate's cumulative approved commission is below the minimum payout threshold, payment will be held until the threshold is met.

9.9 Tax Responsibility. Affiliates are solely responsible for any taxes owed on commissions earned through the Affiliate Program. Culturafy does not withhold taxes from commission payments. Affiliates are responsible for determining their own tax obligations and for any required registrations, filings, or reporting in their jurisdiction. Upon request, affiliates must provide any tax forms (such as IRS Form W-9 or W-8) required for Culturafy to comply with its reporting obligations before any payout is issued.

9.10 Affiliate Links, Branding & Intellectual Property. Culturafy grants each approved affiliate a limited, non-exclusive, revocable, non-transferable license to use Culturafy-provided referral links, banners, and marketing materials solely to promote Culturafy in accordance with these Terms. This license terminates automatically upon suspension or termination of the affiliate account. Affiliates may not modify, alter, or misuse Culturafy trademarks, logos, or materials, and may not use them in any way that suggests endorsement of any third-party product or service. All Culturafy trademarks, branding, and intellectual property remain the sole property of Culturafy.

9.11 Reporting, Auditing & Records. Affiliate performance data, including clicks, referrals, and commissions, is provided through the affiliate dashboard for informational purposes. Culturafy's records regarding referral tracking and commission calculations are the official and controlling records for all disputes regarding commissions, absent manifest error. Affiliates must retain accurate records of their promotional activities and, upon reasonable request, make such records available to Culturafy for verification purposes.

9.12 Term & Termination. An affiliate's participation in the Affiliate Program may be terminated by either party at any time, with or without cause and with or without notice. Upon termination, the affiliate must immediately cease all use of Culturafy referral links and marketing materials. Commissions on referrals that have already qualified as of the effective date of termination will be paid in accordance with the payout schedule, unless termination resulted from a violation of these Terms, in which case Culturafy may forfeit all unpaid commissions. Culturafy may modify or discontinue the Affiliate Program at any time without liability, except for the payment of commissions already approved and earned prior to such discontinuance.

10. Changes to These Terms

We may update these Terms from time to time. Continued use of Culturafy after changes are posted constitutes acceptance of the revised Terms.

11. Dispute Resolution & Arbitration

Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms of Service, your use of Culturafy, or the relationship between you and Culturafy shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The arbitration shall be conducted in the State of Michigan, United States of America. The language of the arbitration shall be English. This arbitration agreement is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1–16.

Arbitrator Qualifications. The arbitrator shall be a neutral attorney licensed to practice law in the State of Michigan. The arbitrator shall have the authority to award any remedies available in a court of law, including injunctive relief and damages, but shall not have the authority to award punitive or exemplary damages except to the extent permitted by Michigan law.

Costs and Fees. Each party shall bear its own costs and attorneys' fees in connection with the arbitration; provided, however, that the prevailing party in any arbitration proceeding may seek recovery of its reasonable costs and attorneys' fees from the non-prevailing party to the extent permitted by Michigan law and the AAA rules.

Time Limit. Any dispute, claim, or controversy that you may have against Culturafy must be commenced within one (1) year after the cause of action accrues, or it shall be permanently barred.

Class Action Waiver. You and Culturafy agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. Any arbitration shall be conducted on an individual basis only.

Jurisdiction and Venue. The courts of the State of Michigan and the United States District Court for the Eastern District of Michigan shall have exclusive jurisdiction over any matters not subject to arbitration, including without limitation any action to compel arbitration, enforce or vacate an arbitration award, or seek injunctive or other provisional relief. You and Culturafy consent to the exclusive personal jurisdiction of these courts and waive any objection based on forum non conveniens.

Severability. If any provision of this arbitration section is found to be unenforceable, the remaining provisions shall remain in full force and effect, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.
